Terms of Service

Plain-language summary: billed helps you create invoices and run your business admin. You pay a subscription after a 14-day free trial. Your data belongs to you and you can export it anytime — even after you cancel. You're responsible for the accuracy of your invoices and your own tax obligations. This summary doesn't replace the full terms below.

1. Who we are

billed (available at billed.au) is operated by MAJO INDUSTRIES PTY LTD (ACN 658 191 176, ABN 76 658 191 176), an Australian company ("billed", "we", "us"). By creating an account or using billed you agree to these Terms.

2. The service

billed is a web application for invoicing and small-business administration: invoices, quotes, clients, products, expenses, receipt capture, time tracking, bookings and a vehicle logbook. We may add, change or remove features as the product evolves; if a change materially reduces the service you pay for, you can cancel at any time.

5. If you don't subscribe — your data stays yours

If your trial ends or your subscription lapses, your account becomes read-limited: you can no longer create or edit records, but you can always access and export your data (clients, invoices, quotes, expenses, time entries and receipts) free of charge. There is no lock-in.

7. Intellectual property

We own all intellectual property rights in billed itself — the application, source code, design, branding and trademarks. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to use billed for your internal business purposes while you have an account. This licence doesn't touch your content: as set out above, everything you enter remains yours.

8. Third-party services

billed relies on reputable third-party providers to operate, including Supabase (data hosting), Stripe (payments), Resend (transactional email) and Google (address/route services and AI-assisted receipt reading). Their availability affects ours; we choose and configure these providers with care but do not control them. Use of AI-assisted features is optional and is described in our Privacy Policy.

9. Availability and data care

We aim for billed to be reliable and available, but we don't guarantee uninterrupted or error-free operation. We take data protection seriously (see our Privacy Policy) and maintain backups as part of our infrastructure, but you should keep your own copies of critical documents — billed makes exporting easy.

10. Liability

Nothing in these Terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law (ACL) that cannot lawfully be excluded. Where the ACL permits, our liability for a breach of a non-excludable consumer guarantee is limited, at our option, to supplying the services again or paying the cost of having the services supplied again. For any other liability that can lawfully be limited, our total aggregate liability to you is limited to the total fees you paid us in the 12 months preceding the event giving rise to the liability, and neither party is liable for indirect, incidental or consequential losses, including lost profits or lost business.

11. Ending these terms

You can stop using billed and cancel your subscription at any time. We may suspend or terminate your account if you materially breach these Terms. Except where immediate suspension is necessary to prevent fraud, unlawful activity or a security risk to the service, we will give you reasonable written notice and an opportunity to remedy the breach first. If you intend to close your account, export your data first — exports remain free. On closure, your records are removed from production systems promptly, except for minimal transaction or tax records we're legally required to keep (see the Privacy Policy for details).

12. Dispute resolution

If a dispute arises out of or relates to these Terms, neither party may commence court proceedings (except for urgent interlocutory relief) unless they have first given the other written notice of the dispute and attempted in good faith to resolve it through discussion within 14 days of that notice.

13. General

These Terms are governed by the laws of New South Wales, Australia. If any part of these Terms is found unenforceable, the rest remains in effect. We may update these Terms from time to time. We will give at least 30 days' notice of material changes by email or in-app notification. If you do not agree to an updated version, you may cancel before it takes effect and we will refund any prepaid, unused portion of your subscription pro-rata.
